[Purpose/significance] In this paper, the author, by analyzing Private International Law policies concerning EU intellectual property, discusses the impact of the institutional environment on legal effect of EU Orphan Works Directive, thus hoping to provide some insights into the theoretical framework for licensing and the legal transplants or legal acculturation of this Directive in China. [Method/process] Legal norms are analyzed. Based on the analysis of remission and its application, the author identifies the source of EU Orphan Works Directive, of which, the extended collective licensing and management system and copyright compensation policy adopted in EU member states aere specifically addressed. [Result/conclusion] The legal transplants or legal acculturation of this Directive and the construction of orphan works licensing system in China should be based on two principles. Firstly, the objectives and the function of orphan works legislation should be explicitly defined. Secondly, a feasible and operable institutional and managerial framework that could ensure its functioning should be erected.
